Terms of Use

This document is an electronic record in terms of Information Technology Act, 2000 including any amendments thereof, from time to time, the rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

These terms of use (“Terms”) govern the use of and/or access to the PhonePe Pulse website (“Pulse Website”) offered by PhonePe Private Limited (“PhonePe”), a company incorporated under the Companies Act, 1956 with its registered office at Unit No. 001, Ground Floor, Boston House, Suren Road, Off. Andheri-Kurla Road, Andheri (East) Mumbai - 400093, India.

For the purposes of these Terms, you expressly acknowledge that PhonePe includes PhonePe's affiliates, officers, directors, representatives and employees. Through your usage and access of the Pulse Website, you agree to be bound by these Terms.

PhonePe may amend these Terms at any time by posting an updated version on Pulse Website. The updated version of these Terms shall take effect immediately upon posting. It is your responsibility to review these Terms periodically for updates / changes, if any. Your continued use of the Pulse Website following the posting of changes shall mean that you accept and agree to the revision(s)/modification(s).

1. PhonePe, hereby grants you a limited, non-exclusive, non-assignable and non-transferable license to access Pulse Website provided and expressly conditioned upon your agreement that all such access and use shall be governed by the terms and conditions set forth in these Terms.
2. Trends, insights, blogs, statistics and other content/information that have been displayed on the Pulse Website (hereinafter referred to as “Pulse Data”) is provided to you solely for informational purposes.
3. Pulse Website as well as the design and information contained in this site is the exclusive property of PhonePe, and nothing in these Terms shall be construed as transferring or assigning any such ownership rights to you or any other person or entity. All Pulse Data and/or other information on Pulse Website is proprietary to PhonePe and shall include data that is inferred or derived post application of algorithms/ proprietary knowledge of PhonePe.
4. You agree to not resell, redistribute, broadcast or transfer the Pulse Data or use the same in a searchable, machine-readable database unless separately and specifically authorized in writing by PhonePe prior to such use. You shall not rent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, store or time-share Pulse Website, or any part thereof, or any of the information received or accessed therefrom to or through any other person or entity unless separately and specifically authorized in writing by PhonePe prior to such use. However, the permission to reproduce any Pulse Data shall not extend to such portion of the Pulse Data which is under copyright of a third party. Authorization to reproduce such material must be obtained from the copyright holder(s) concerned, wherever applicable. All such copyrighted materials shall be the property of its respective owner(s)/copyright holder(s).
5. You acknowledge that the Pulse Data shall not be construed by you to be any kind of investment advice or seen as performance data or an industry level data set or be relied upon for making investment decisions or use such data for any other legal purpose. PhonePe accepts no responsibility in relation to the accuracy, completeness, usefulness or otherwise, of the Pulse Data. You are advised to verify/check any updated information available with alternative source(s). Any usage of the Pulse Data by you shall be solely at your own risk and PhonePe shall not be responsible for any liability that arises due to the same, under any circumstances whatsoever. The Information is not intended to provide tax, legal or investment advice, which you are strongly advised to obtain from your professional advisor prior to making any investment.
6. You acknowledge and agree that PhonePe shall be under no obligation, in any circumstance whatsoever, to substantiate, explain, provide reasoning(s)/background behind and/or reveal any calculation/computation methods/algorithms with respect to the Pulse Data.
7. You hereby agree to release PhonePe (including its affiliates and officers, directors, agents, and employees thereof) from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with your use and access of Pulse Website.
8. You agree to not use anything displayed on the Pulse Website (including, not limited to Pulse Data) for any illicit or illegal purposes or to conduct any fraudulent transaction or in such manner which may be seen as violation of the applicable law and/or the policies, rules, and/or these Terms.
9. Your usage of the Pulse Website shall not be construed as a right to access the same, at all times. PhonePe, in its sole discretion, may suspend/discontinue, either temporarily or permanently, access to Pulse Website, at any time without prior notice.

10. LIABILITY DISCLAIMER

    1. You expressly agree that use of the Pulse Website is at your sole risk.
    2. The Pulse Data and/or any other content, information, software, products, features and services published on Pulse Website may include inaccuracies or typographical errors. Changes are periodically added to the contents herein. PhonePe may make improvements and/or changes to the Pulse Website, at any time. The Pulse Website may be temporarily unavailable from time to time due to required maintenance, telecommunications interruptions, or other disruptions. PhonePe shall not be liable with respect to its right to modify or discontinue any or all of the contents, information, features and services provided on the Pulse Website.
    3. While PhonePe provides its services using reasonable skill and care, it is dependent on third party(ies) for certain features/content such as maps, names of districts, addition/removal of districts, demographics related information, pictures showing geographical boundaries etc. As such you understand and agree that all updates to such features/content are provided on a best effort basis and that PhonePe does not warrant the accuracy, reliability, correctness or completeness of such features/content.
    4. PhonePe makes no representations about the suitability of the Pulse Data and/or any other content, information, features and services contained on the Pulse Website, for any purpose. All such Pulse Data and/or other contents, information, features and services are provided "as is" and without warranty of any kind. PhonePe hereby disclaims all warranties and conditions with regard to the Pulse Data and any other contents, information, features and services, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement, and availability.
    5. In no event shall PhonePe be liable for any direct, indirect, punitive, incidental, special or consequential damages arising out of or in any way connected with the use of the Pulse Website or with the delay or inability to use the Pulse Website, or with regard to the Pulse Data and/or other content, information, features and services provided via the Pulse Website, or otherwise arising out of the use of the Pulse Website, whether based on contract, tort, strict liability or otherwise, even you have been advised of the possibility of damages.

INFORMATION DISCLAIMER

11. You acknowledge that inaccuracies and/or typographical error(s) may occur and PhonePe does not warrant the accuracy or suitability of the information (including not limited to Pulse Data). For this reason, as well as the possibility of human and mechanical errors and other factors, you acknowledge that the Pulse Website is provided to you on an "as is, with all faults" basis. PhonePe expressly disclaims any and all warranties, whether express, oral, implied, statutory or otherwise, of any kind, including any implied warranties of accuracy, timeliness, completeness, merchantability, fitness for a particular purpose and any implied warranties of title or non-infringement. Further, PhonePe does not represent or warrant that it will meet your requirements or is suitable for your needs.
12. You acknowledge that if any promotion/offer is provided or advertised on Pulse Website, the same shall be governed by the applicable terms and conditions. You agree to read such applicable terms and conditions before availing any such promotion/offer.
13. You agree to indemnify and hold PhonePe, its affiliates, employees, directors, officers, agents and representatives, harmless, from any and all losses, damages, actions, claims and liabilities (including legal costs) which may arise, directly or indirectly, from breach of these Terms and/or usage of Pulse Section (including not limited to Pulse Data), in any manner whatsoever.
14. These Terms constitutes the entire agreement between the parties, and no other agreement, written or oral, exists between you and PhonePe.
15. These Terms shall be governed by the laws of India, without respect to its conflict of laws principles. Any claim or dispute between you and PhonePe that arises in whole or in part from in relation to these Terms shall be decided exclusively by a court of competent jurisdiction located in Bangalore.
16. The Privacy Policy as uploaded from time to time on the Pulse Website shall be deemed to be incorporated into these Terms by reference.
